Terms of Service
The terms under which we take on and deliver work. Your signed proposal always takes precedence over anything here.

Scope of work
Each project is governed by a written proposal or statement of work setting out the deliverables, timeline and price. Where these terms and a signed proposal conflict, the proposal takes precedence.
Work outside the agreed scope is quoted separately and only begins once you have approved it in writing.
Quotes and payment
Quotes are valid for 30 days from the date of issue. Smaller projects are invoiced 50% on commencement and 50% on delivery; larger projects are invoiced against agreed milestones.
Prices exclude third-party costs such as domain registration, hosting beyond any included period, paid licences, app store developer fees and stock assets. These are passed through at cost.
Invoices are payable within the period stated on the invoice. We may pause work on overdue accounts after giving notice.
Your responsibilities
Projects depend on timely input from you: content, feedback, approvals and access to any third-party accounts we need to integrate with. Delays in these shift the timeline accordingly.
You confirm that any material you supply — text, images, logos, data — is yours to use, or that you have the necessary licence for it.
Intellectual property
On full payment, ownership of the custom code and design produced specifically for your project transfers to you.
This does not transfer ownership of third-party components, open-source libraries or our own pre-existing tools and frameworks, which remain under their respective licences. You receive the rights needed to use, host and modify your project.
Unless you ask us not to, we may describe the work and show selected screens in our portfolio.
Revisions and acceptance
Each project includes the number of revision rounds stated in the proposal. Additional rounds are quoted separately.
Deliverables are considered accepted if no written feedback is received within the review period stated in the proposal.
Warranty and support
We correct defects in our work reported within 30 days of delivery at no charge, where the software does not function as agreed in the scope.
This warranty does not cover changes made by others, third-party service failures, changes in scope, or issues arising from content or data you supply. Ongoing maintenance is available under a separate retainer.
Hosting and support services
Hosting and maintenance are billed on a recurring basis and continue until cancelled by either party with the notice stated in the applicable plan.
We take reasonable measures to keep services available and backed up, but we do not warrant uninterrupted service. Response times for support are those stated in your plan.
Termination
Either party may end an engagement in writing. You remain liable for work completed and costs committed up to that point, and we will hand over completed deliverables for which payment has been received.
Liability
To the extent permitted by law, our total liability arising from an engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential loss, including lost profits or data, except where liability cannot lawfully be excluded.
Governing law
These terms are governed by the laws of the jurisdiction in which Sky Arkanum Technologies is registered, and disputes are subject to the exclusive jurisdiction of its courts.
